This website is managed by Licence24 - Aliu. Throughout the portal, the pronouns "we," "our," and "us" refer to Licence24 - Aliu. The online platform, with all its information, tools, and accessible services, is provided by Licence24 - Aliu for your use as a user, subject to your unconditional acceptance of all the conditions, policies, and notices detailed below.

By visiting our site (https://www.licence24.ch) and/or purchasing goods from our entity, you agree to our "Service" and consent to be bound by the following stipulations and provisions ("General Terms", "Terms of Use"), including the guidelines and principles mentioned in this document and/or accessible via hyperlinks. Our store is hosted by Shopify Inc., which provides us with the online e-commerce solution necessary for marketing our products and services.

ARTICLE 1 – ONLINE STORE USAGE REGULATIONS

By agreeing to these Terms of Use, you confirm that you have reached or exceeded the legal age of majority in your region, canton, or state.

You are strictly prohibited from using our products for illegal or unauthorized purposes, or from violating the laws of your jurisdiction when using our Service, including copyright laws.

You must under no circumstances introduce malicious code, computer viruses, or any other destructive programs.

Failure to comply with or violation of any of these provisions will result in the immediate suspension of your Services.

ARTICLE 2 – GENERAL PROVISIONS

We reserve the right to refuse service to anyone, at any time, and for any reason.

Your credit card information is always encrypted during transmission over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without our explicit written permission.

ARTICLE 3 – ACCURACY, COMPLETENESS, AND TIMELINESS OF DATA

We strive to keep the information displayed on this site as accurate, complete, and up-to-date as possible. In the exceptional case that an error is detected (price, description, availability), we commit to correcting it as soon as possible and informing the affected customer before order execution.

The content of this site is provided for general informational purposes. We reserve the right to modify the content of this site at any time, while ensuring that the essential information for the transaction remains accurate at the time of purchase.

ARTICLE 4 – PRICES AND PRICE GUARANTEE

Our product prices are displayed in Swiss francs (CHF), including all taxes. They may be changed without prior notice on the site.

The price charged to the customer is the one displayed at the time of order confirmation. No price changes occurring after order confirmation can be applied to an already initiated transaction.

This price guarantee applies from the payment confirmation until the delivery of the license key by email.

We reserve the right to modify or suspend the Service at any time without prior notice, without this incurring any liability towards you or any third party.

ARTICLE 5 – REFUND POLICY

In accordance with Swiss law applicable to digital content, and notably the provisions of the Swiss Code of Obligations (CO) and the Federal Consumer Protection Act, the right of withdrawal does not apply to digital products whose execution has already started with the consumer's explicit consent.

By placing an order on Licence24.ch and accepting the immediate delivery of your license key, you expressly agree that the contract execution begins without delay. The delivery of the activation key constitutes contract execution.

·       Cancellation before delivery If you wish to cancel your order before the key is sent, contact us immediately at hello@licence24.ch. A full refund will be issued if the key has not yet been delivered.

·       Technical difficulty during installation If you encounter a problem during the installation or configuration of your software, contact our support within 24 hours of receipt by providing a screenshot of the error encountered. We commit to offering you:

No solution found If no satisfactory solution can be provided after verification, a full refund will be issued in accordance with our General Terms and Conditions of Sale.

⚠️ Important: Licenses already delivered, activated, or functional cannot be returned or refunded, in accordance with the legal provisions applicable to digital content in Switzerland.

ARTICLE 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. At our sole discretion, we may limit or cancel quantities purchased per individual, household, or order.

You agree to provide up-to-date, complete, and accurate purchase and account information for all transactions made on our store, including a valid email address for receiving the license.

ARTICLE 7 – OPTIONAL THIRD-PARTY TOOLS

We may provide you access to tools developed by third parties that we do not directly monitor. You acknowledge and agree that we provide access to these tools "as is" and "as available," without any warranty from us.

ARTICLE 8 – LINKS TO THIRD PARTIES

Hyperlinks to third-party sites on our website may redirect you to third-party web platforms that are not affiliated with us. We disclaim all liability for any harm or damage related to the use of these third-party sites.

ARTICLE 9 – FEEDBACK, SUGGESTIONS, AND OTHER SUBMITTED CONTENT

If you send us ideas, proposals, or other elements (collectively, the "comments"), you grant us the right to modify, copy, publish, distribute, and exploit all such comments without restriction.

You acknowledge that your comments must not infringe on the rights of third parties, including copyrights, trademarks, or privacy rights.

Payment data is processed exclusively by our certified payment providers (Shopify Payments, PayPal, Stripe) and is never stored on our servers.

ARTICLE 11 – ERRORS, INACCURACIES, AND OMISSIONS

In the exceptional case that an error is found on our site (price, description, availability), we reserve the right to correct it at any time. If an order has been placed based on incorrect information, we will inform the customer before fulfillment and offer either confirmation at the corrected price or cancellation with a full refund.

ARTICLE 12 – PROHIBITED USES

In addition to the other prohibitions listed in the Terms of Use, you are prohibited from using the site or its content:

•       for illegal purposes or to encourage others to commit illegal acts

•       to violate any applicable local, cantonal, federal, or international regulations in Switzerland

•       to infringe or violate our intellectual property rights or those of third parties, including the rights of the relevant software publishers

•       to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against anyone

•       to submit false or misleading information

•       to upload or spread viruses or any other type of malicious code

•       to collect or track others' personal information

•       to send spam, engage in phishing, pharming, or web scraping

•       for obscene or immoral purposes

•       to disrupt or bypass the Service's security measures

We reserve the right to terminate your use of the Service if you violate these prohibitions.

ARTICLE 13 – DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

We do not certify, confirm, or in any way represent that your use of our Service will be uninterrupted, secure, or free from delays or errors.

The Service is provided "as is" and "as available," without any representations, warranties, or conditions of any kind. Our liability will be limited to the maximum extent permitted by applicable law.

ARTICLE 14 – INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Licence24 - Aliu, as well as our affiliates, partners, officers, directors, agents, and employees, from any claim or demand made by a third party due to your violation of these Terms of Use.

ARTICLE 15 – SEVERABILITY OF CLAUSES

If any provision of these Terms of Use is found to be illegal, void, or unenforceable, that provision shall remain valid to the fullest extent permitted by law without affecting the validity of the other provisions.

ARTICLE 16 – TERMINATION OF THE AGREEMENT

These Terms of Use will remain in effect unless and until terminated by you or us. If we believe you do not comply with any provision of these Terms, we may terminate this agreement at any time without notice.

ARTICLE 17 – ENTIRE AGREEMENT

These Terms of Use represent the entire agreement between you and us and govern your use of the Service. They supersede all prior agreements, communications, and proposals, whether oral or written.

ARTICLE 18 – APPLICABLE LAW

These Terms of Use are governed by and interpreted in accordance with Swiss law.

ARTICLE 19 – CHANGES TO THE TERMS OF USE

We reserve the right, at our sole discretion, to update or modify any section of these Terms of Use by publishing updates on our website. Continued access to our website after the publication of changes constitutes acceptance of those changes.

ARTICLE 20 – LEGALITY AND ORIGIN OF LICENSES

Licence24 - Aliu ensures the marketing of licenses selected according to the legal criteria applicable to their resale within the European and Swiss framework, notably:

•       Marketed within the legal framework of the exhaustion of the distribution right recognized by European and Swiss case law

•       Perpetual — no subscription or time-limited license is offered on Licence24.ch

•       Selected in accordance with the CJEU ruling C-128/11, to ensure that only one instance of the software remains in active use for each resold license

The resale of these licenses is based on the principle of exhaustion of the distribution right, recognized by the following texts:

•       European Directive 2009/24/EC of April 23, 2009 concerning the legal protection of computer programs (arts. 4 and 5)

•       Judgment of the Court of Justice of the European Union (CJEU), C-128/11 of July 3, 2012 (UsedSoft/Oracle), which establishes the exhaustion of the distribution right for software downloaded via the Internet

•       Article 12, paragraph 2 of the Federal Copyright Act (LDA, RS 231.1), applicable in Switzerland

Origins of the licenses

The licenses offered on Licence24.ch come from European suppliers specialized in the distribution of digital software licenses, selected according to compliance criteria with the applicable legal framework. Licence24.ch sources from partners who certify, in accordance with the CJEU ruling C-128/11, that each transferred license corresponds to a copy whose use has been rendered unusable by the original holder at the time of the transaction.

Prohibition of division

According to CJEU case law, licenses are not divisible. A software suite is sold as a complete set and cannot be divided among its individual components.

ARTICLE 21 – NATURE AND TYPES OF LICENSES

Licence24.ch sells perpetual digital licenses of the Retail type, intended for individual or professional use, selected according to compliance criteria with the European and Swiss frameworks applicable to software resale. These licenses are transferable from one device to another: they can be uninstalled from one device and reinstalled on a new device, respecting the software's terms of use.

ARTICLE 22 – INDEPENDENT RESELLER

Licence24.ch is an independent reseller of digital software licenses. We are not affiliated with Microsoft Corporation or any other software publisher whose products are listed on our site. Product names, trademarks, and logos mentioned on this site are the exclusive property of their respective owners.

The resale of the offered licenses is carried out within the legal framework of the exhaustion of distribution rights, in accordance with European (CJEU C-128/11) and Swiss (LDA art. 12 para. 2) case law applicable to the resale of digital software.

ARTICLE 23 – DIGITAL DELIVERY

All products sold on Licence24.ch are digital licenses. No physical media (CD, DVD, USB key) is shipped.

After payment confirmation, the customer receives by email:

•       The digital activation key

•       The download link to the publisher's servers

•       The installation and activation guide

•       The invoice in digital format

Delivery is generally made immediately after payment validation. Receiving the activation key by email constitutes contract execution.

By placing an order and accepting the delivery of the digital license key, the customer expressly consents to the contract execution starting immediately, in accordance with the legal provisions applicable to digital content in Switzerland.

ARTICLE 24 – COMPETENT COURT AND DISPUTE RESOLUTION

In case of a dispute arising from or related to these General Terms and Conditions of Sale, the parties agree to first seek an amicable solution by contacting Licence24 - Aliu at hello@licence24.ch.

If no amicable resolution is reached within 30 days from the notification of the dispute, the competent court will be that of the canton of Geneva, Switzerland, in accordance with article 18 of these Terms and Conditions stipulating the application of Swiss law.
